This is the warranty Shado gives to business customers that acquire Shado hardware modules for incorporation into their own products.

Consumers who own a Shado Device are covered by the Shado Limited Warranty instead. The two are separate warranties and neither varies the other.

Committed function98% tap success rate, plus mechanical integrity of the module and carrier.
Inspection window30 days from delivery for QC verification. Verified failures replaced within 14 business days.
RemedyReplacement of the defective module. This is the sole and exclusive remedy under this warranty.
B1

Application

B1.1This warranty applies to hardware modules, carriers and spares ("Modules") supplied by Shado Pty Ltd, including when trading through its UK establishment ("Shado"), to a business customer ("Customer") under a Pilot Partnership Agreement, Order Form or supply agreement. Each of those documents is a "Contract".

B1.2This warranty is incorporated into each Contract that refers to it, in the version published on the date that Contract is signed or issued.

B1.3The Shado Limited Warranty does not apply to the Customer. This warranty does not affect the warranty Shado gives to Owners of Shado Devices.

B1.4"Business Day" means a day other than a Saturday, Sunday or public holiday in Sydney, New South Wales.

B2

Warranty Given

B2.1Shado warrants that each Module will, for 24 months from the date of delivery to the Customer:

  • be free from defects in materials and workmanship;
  • conform in all material respects to Shado's published specification for that Module ("Specification"); and
  • achieve a tap authentication success rate of at least 98 per cent under the test conditions in the Specification.

B2.2 Sentinel Editions. Sentinel Editions (Bastion, Aegis), including location reporting, cellular connectivity and battery endurance, are designed; not shipping in v1. Shado gives no warranty under this clause for any Sentinel engineering demonstration, which is not a shipping configuration.

B2.3Shado does not warrant that the Modules will prevent theft, counterfeiting, removal or fraud in any circumstance. The Modules are designed so that a removal cannot be reversed without leaving a trace, is detectable at the next tap, and is linked to the owner registered at the time. They are not designed to prevent removal.

B3

Conditions

B3.1The warranty in clause B2 applies only where:

  • the Module has been installed in accordance with Shado's fitment protocol ("Fitment Protocol") by personnel trained in that protocol;
  • the Module has been stored and handled in accordance with the Specification, including lithium battery and electrostatic discharge requirements;
  • the Customer notifies Shado in writing within 10 Business Days after discovering the defect, and within the warranty period;
  • the Customer ceases further installation of Modules from the affected batch once a defect is suspected, if Shado so requests; and
  • the Customer returns the affected Module, or makes it available for inspection, if Shado so requests.

Delivery inspection

B3.2The Customer must carry out Shado's QC verification protocol within 30 days of physical delivery. Modules that fail QC verification on delivery will be replaced at no cost within 14 Business Days after written notice specifying the defect and the number of affected Modules.

B4

Remedy

B4.1Replacement of the affected Module is the Customer's sole and exclusive remedy for breach of clause B2.

B4.2Replacement Modules are supplied on the same delivery terms as the original supply. Shado will supply them as soon as reasonably practicable and in any event within 30 Business Days after confirming the claim.

B4.3Replacement Modules are warranted for the remainder of the original warranty period or 90 days from delivery, whichever is longer.

B4.4Shado will replace, at no charge, any Module that records a tamper event in the absence of external evidence of interference.

B4.5Shado is not responsible for the cost of removing a Module from, or refitting a Module into, a Host Product, or for rework, recall or withdrawal of Host Products.

B5

Exclusions And Other Terms

B5.1The warranty in clause B2 does not apply to any defect caused by installation that does not comply with the Fitment Protocol, damage after delivery, modification or repair by any person other than Shado, the design, materials or manufacture of the Host Product, use outside the Specification, normal battery degradation, or a tamper event arising from installation, assembly or handling by the Customer except where clause B4.4 applies.

B5.2Clause B2 is given in place of all other warranties, conditions and terms, express or implied, including as to satisfactory quality, merchantability and fitness for purpose. All such terms are excluded to the fullest extent permitted by law. Nothing in this warranty excludes the implied terms as to title, or any liability that cannot lawfully be excluded.

No hardware roadmap

B5.3Shado makes no commitment to any hardware roadmap, to the continued manufacture of any Edition, to any form factor, or to feature parity across generations. The ownership record is held in the Shado registry independently of the Module that references it.

End-user warranty

B5.4Shado gives the Shado Limited Warranty directly to Owners of Devices that incorporate Modules. The Customer must not make any representation, warranty or guarantee about Shado Devices that is inconsistent with the Shado Limited Warranty or with the Known Limitations, and must refer to Shado any end-user warranty claim relating to a Module.

B6

Known Limitations

Shado publishes what its Devices do not do at www.shadosecurity.com/legal. That list forms part of the Specification. Where a Contract includes a Known Limitations annex, the annex prevails over the published list for that Contract.
